Introduction and general, and/or entity specific information ⮌

The undertaking regards sustainability matters, and in particular environmental, social and governance (ESG) factors, as fundamental and decisive elements for its development and its future. For this reason, it has embarked on a path aimed at raising internal awareness of ESG topics and improving its sustainability performance, based on a plan covering both the short and the medium term.

The European regulatory framework is evolving. With the Omnibus package, which amends the CSRD (Corporate Sustainability Reporting Directive), the reporting obligation has been limited to larger undertakings and postponed. Nevertheless, the direction taken by the European Union remains clear, confirming a strong commitment to sustainability and to the objective of climate neutrality ("Net Zero") by 2050.

Within this framework, the undertaking carried out an initial sustainability assessment, which made it possible to identify the main gaps in its corporate ESG policies. This analysis gave rise to an ESG Plan for the three-year period 2025-2027. The Plan defines the actions that the undertaking is committed to implementing in order to meet the expectations of its key stakeholders and to progressively reduce its environmental impact.

The undertaking considers the improvement of its sustainability performance to be directly linked to the improvement of its business performance. In view of the growth targets set, the path undertaken is deemed consistent with the company's strategic direction.

Although, owing to its size, the undertaking is not among the entities subject to mandatory reporting, it had set in its ESG Plan the objective of publishing its first sustainability report by 2027. This objective has been achieved ahead of schedule. Indeed, this document constitutes the undertaking's first sustainability report. It has been prepared on a voluntary basis in accordance with the VSME standard (Voluntary Sustainability Reporting Standard for non-listed SMEs) and refers to the 2025 financial year, from 1 January to 31 December 2025. Through this report, the undertaking intends to share with its stakeholders the results achieved, the progress made and the challenges still open with respect to the objectives set.

[6] The practices established by SEAL-TEAM S.r.l. cover four areas: (i) Climate change: practices formalised in the 2025-2027 ESG Plan (approved on 24/04/2025), which provides for the purchase of Guarantee of Origin certificates covering up to 100% of electricity requirements in 2025 (target achieved), the installation of a photovoltaic system and the estimation of Scope 1 and Scope 2 emissions by 2026 (target brought forward to 2025); (ii) Own workforce: practices governed by the Code of Ethics (approved on 15/09/2025) in Articles 13-18 (personnel management and selection, health and safety) and Article 3 (protection of human rights, rejection of child and forced labour, non-discrimination); (iii) Business conduct: practices governed by the Code of Ethics in Articles 4-5 (gifts and conflicts of interest), 9-12 (intellectual property, competition, anti-money laundering, export controls), 19-22 (relations with suppliers, customers, external collaborators and the Public Administration) and 25 (accounting transparency); (iv) Circular economy: for further details on the policies, please refer to data point B7.

[7] As at the reference date, the Code of Ethics and the ESG Plan are made available internally (company notice board and individual delivery to new hires, collaborators and directors, as provided for by Article 2 of the Code of Ethics) and are published on the company website.

[8] The climate change policy is associated with quantitative targets defined in the 2025-2027 ESG Plan: coverage of 100% of electricity consumption from renewable sources by 2025, and estimation of Scope 1 and Scope 2 emissions (baseline) by 2026.

[9] Electricity consumption corresponds to the company's annual consumption in the period under consideration. The supply contract is 100% "Energia Verde" (Green Energy) branded, with a dedicated variable green energy sales charge, as shown in the "Mix energetico" (energy mix) section of each utility bill.

[10] Scope 1 emissions (39.67 tCO2e) derive from the fuel consumption of the company fleet (11 vehicles, a total of 14,970 litres of diesel and petrol in 2025), calculated using the GHG Protocol fuel-based method and applying the ISPRA emission factors for road transport fuels (diesel 2.65 kgCO2e/l; petrol 2.20 kgCO2e/l). The boundary includes all vehicles in the company fleet.

[11] Location-based Scope 2 emissions (236.57 tCO2e) are calculated by multiplying total 2025 electricity consumption (916,579 kWh) by the average emission factor of the Italian national electricity mix, equal to 0.2581 kgCO2e/kWh. The location-based method does not take into account the specific supply contract, but rather the average grid mix.

[12] Market-based Scope 2 emissions are equal to zero by virtue of the cancelled Guarantees of Origin (GOs) (917 MWh, hydroelectric source, Grosio plant), as per GSE Cancellation Statement No. 202603250094256 of 25/03/2026, which covers 100% of 2025 electricity consumption. The emission factor applied to the energy covered by GOs is 0 kgCO2e/kWh, in line with the GHG Protocol Scope 2 Guidance (market-based method).

[13] The total (276.24 tCO2e) is the arithmetic sum of Scope 1 emissions (39.67 tCO2e, company fleet) and location-based Scope 2 emissions (236.57 tCO2e, electricity consumption × ISPRA national average grid factor).

[14] The total (39.67 tCO2e) is the sum of Scope 1 emissions (39.67 tCO2e, company fleet) and market-based Scope 2 emissions (0 tCO2e, reduced to zero by the GSE Guarantees of Origin), and is numerically equal to Scope 1 emissions alone.

YES
Undertaking applies circular economy principles
SEAL-TEAM S.r.l. applies the principles of the circular economy across its production and management activities, with the aim of eliminating waste and progressively reducing the environmental impact of the materials used. The main policies and actions adopted by the company concern:

a) Waste elimination and process optimisation: the production process for rubber articles uses new-generation machinery and is designed to minimise the generation of scrap, through optimal job order set-up and the planning of the processing cycle. The rubber offcuts generated are classified and sent for separate disposal.

b) Responsible waste management: the waste produced is segregated by category, stored safely and entrusted to qualified and authorised providers for recovery and disposal.

c) Energy efficiency of plants and machinery: the progressive replacement of machinery with high-efficiency, inverter-equipped motors is provided for in the continuous improvement plan.

Enviroment - Other and/or entity specific information ⮌

In addition to the disclosures reported above, SEAL-TEAM S.r.l. refers to the provisions of its Code of Ethics, which, in Article 24 "Environment", recognises environmental protection and the responsible management of natural resources as a fundamental principle of the undertaking's industrial strategy. The Company is committed to promoting short- and medium-term initiatives aimed at reducing the environmental impact of its activities, containing energy consumption and adopting innovative, sustainability-oriented technologies, while maintaining an energy consumption monitoring system. The same commitment is extended to the supply chain: in the selection of suppliers, preference is given to undertakings that comply with the legislation in force on environmental protection and safeguarding, occupational safety and confidentiality.

Consistent with these principles, the 2025-2027 ESG Plan translates these commitments into concrete actions. The company is continuing the path, launched in 2024, of reducing its energy intensity and its dependence on fossil sources, through the purchase of Guarantees of Origin, the installation of a photovoltaic system and the integration, within the company management system, of energy consumption data for each press, in order to accurately monitor the consumption associated with each individual job order. In parallel, the programme to replace older machinery with new high energy-efficiency equipment is continuing, together with energy efficiency measures on the company's buildings. In 2026, the Company will also continue to monitor its Scope 1 and Scope 2 greenhouse gas emissions in accordance with the GHG Protocol guidelines, and will assess the opportunity of adding an estimate of Scope 3 emissions. It will also define medium-term reduction targets.

The 2025 pay gap, calculated on the basis of average hourly pay by gender, includes all employees.
The result shows a gap of 24.1%, mainly attributable to two factors:
- length of service, which is significantly higher for male employees than for female employees;
- the pay component of the heads of company functions, who are also employees of the company and receive remuneration consistent with their managerial role, thereby contributing to widening the overall gap.

[23.1][23.2] Training hours delivered in 2025, according to the company training register, calculated on employees on the payroll during the year (excluding collaborators and employees who left during the year); new hires in 2025 are counted with their full hours, without pro-rating for the period of actual employment.
